These General Terms and Conditions of Sale (hereinafter the "Terms") govern all contractual relations between OLB Sports OOD, a company incorporated under Bulgarian law, operating the Flare Custom brand, and its business or private customers for the sale of custom sportswear via the flare-custom.com website.
Any order placed on our website implies the customer's unreserved acceptance of these Terms.
These Terms comply with Bulgarian law (Търговски закон / Commercial Act and Закон за защита на потребителите / Consumer Protection Act) and with European Union law, in particular Directive 2011/83/EU on consumer rights, Directive 2000/31/EC on electronic commerce and Regulation (EU) 2016/679 (GDPR).
These Terms are drafted in French. Translations (English, Bulgarian and others) are provided to facilitate customer understanding. Between professionals (B2B), in case of discrepancy, the French version shall prevail. Towards consumers, the version drafted in the language usually used by the consumer at the time of order shall prevail, in accordance with art. 6 of Regulation (EC) 593/2008 (Rome I), mandatory consumer protection rules of their country of residence, Directive 93/13/EEC on unfair terms and — for Bulgarian consumers — art. 113-114 of the Bulgarian Consumer Protection Act.
The purpose of these Terms is to define the rights and obligations of the parties in connection with the online sale of custom sportswear offered by Flare Custom.
The products offered include in particular:
These Terms apply to private customers and business customers (sports clubs, associations, companies, local authorities) located in Europe and placing an order on the flare-custom.com website.
Any customer wishing to place an order must first submit a free quote request via the online form available on flare-custom.com. This request must include:
Response time: Flare Custom undertakes to provide a detailed quote within a maximum of 48 working hours after receiving the complete request with all necessary elements.
The quote provided by Flare Custom is valid for 15 calendar days from its date of issue. After this period, prices and conditions may be changed and a new quote request will be required.
The quote sets out in detail:
The prices of the order are guaranteed if production can start within 60 calendar days of the signature of the quote. If production cannot start within this period for a reason attributable to the customer — in particular sizes, names, numbers, logos or files not provided, proof not approved, payment not received, failure to respond to Flare Custom's requests —, Flare Custom may revise the price of the order to reflect changes in its costs: fabrics and raw materials, labour, energy, transport and delivery costs, inflation.
The revision is notified to the customer in writing, stating the new amount. It may not exceed the actual increase in costs borne by Flare Custom. A consumer customer who refuses the revision may cancel their order within 14 days of the notification: the sums paid are then refunded to them, less the work already carried out (graphic design, proof).
This article applies only to an order already placed (signed quote), and not to quotes.
Where the customer fails to respond for 30 calendar days to a request from Flare Custom that is necessary for the order (missing elements, approval of the proof, payment, choice of a fabric), the order is put on hold. Resuming it gives rise to a order resumption fee equal to 10% of the order amount excl. VAT, with a minimum of €30 excl. VAT, covering rescheduling, reminders and re-checking of the files. Manufacturing and delivery times start again from zero on the date of resumption. This fee is added, where applicable, to the price revision provided for in article 2.2 bis.
After the quote is accepted, Flare Custom produces a digital proof (BAT) visually representing the final product with the requested customisation. This proof is sent to the customer for mandatory approval.
Indicative time for sending the proof: proof sent within 48 h* after receipt of all necessary elements (payment, complete brief, logos, files). This time is given as a guide and is not binding: it may vary depending on the complexity of the project, the workload of the graphics studio or the quality of the elements provided. No delay to this indicative time may engage Flare Custom's liability or justify a cancellation or compensation.
* Usual turnaround of our workshop. In peak season, it may take a little longer.
Tacit approval of the proof — 15-day period. Failing a written response from the customer (approval, modification request or reasoned refusal) within fifteen (15) calendar days of the proof being sent by email, the proof is deemed tacitly approved by the customer. Production may then be launched without further formality and no subsequent claim will be accepted regarding the visual elements present on the proof thus tacitly approved. This provision complies with article 16 of the Bulgarian Law on Obligations and Contracts (ZZD).
Customer's responsibility — proof approval. The customer is fully responsible for carefully checking the proof before approval. They must review with the utmost attention:
Once the proof is approved by the customer, no modification is possible and no claim will be accepted regarding the visual elements present on the approved proof.
Textile sublimation is a heat-transfer printing process with specific technical characteristics that the customer must accept.
Acceptable and non-contestable tolerances:
On-screen previews (proof, configurator, photos, 3D previews) — non-contractual rendering.
These technical tolerances comply with the international standards of the textile industry and do not constitute a manufacturing defect. No claim will be accepted for variations within these tolerance margins.
The sales contract is considered definitively formed when the following three conditions are met:
An order confirmation email is then sent to the customer, summarising all the essential elements of the order (reference, quantities, price, lead times).
Locking of the brief after signature of the quote. The customer's electronic signature of the quote definitively locks the creative brief as exchanged and accepted up to that date: products, quantities, main colours, logo placements, names, numbers, sponsors, files provided, and any written instruction given by the customer before signature. The signed quote and its history of exchanges (emails, files, configurator brief) constitute written proof of the initial brief. Any substantial change requested after signature (change of concept, addition of unplanned elements, redesign, change of sponsors, etc.) will be regarded as a new brief and will be subject to a new package charged according to complexity, in accordance with article 2.6 hereof.
The number of rounds of proof modifications included depends on the design package chosen: standard design package (€50 excl. VAT): two (2) rounds included; €95 excl. VAT design package: three (3) rounds included; AI packages (€50 and €150 excl. VAT): two (2) rounds included, limited to minor touch-ups (text, names, numbers, logo positions): as the AI artwork is not vectorised under these packages, no significant change to the design is possible. These rounds are included within the limit of minor changes relative to the base brief approved at the quote stage (colour adjustment, changes to text/numbers/names, repositioning of logos already provided, layout retouching).
Modifications included in the package (2 or 3 rounds depending on the package):
Significant change to the initial brief: any substantial change relative to the base brief (new design, addition of logos not initially provided, graphic redesign, change of concept, etc.) may be subject to a new package charged according to complexity, on a prior quote and with the customer's agreement.
Modifications beyond the included package: each additional modification beyond the rounds included in the chosen package (2 or 3) is charged at €50 excl. VAT per modification (simple modifications only). For significant changes (redesign, new concept, major additions), a new package is charged according to the complexity of the work requested, on a prior quote.
The customer may provide reference visuals (images generated by artificial intelligence, screenshots, photographs, illustrations, sketches) for reproduction on the products. The reproduction of these visuals is governed by the following principles.
The customer expressly acknowledges and accepts that these adaptations are inseparable from the manufacturing process and fall within the specific expertise of Flare Custom's designers. No claim may be made on the grounds that the final result differs from the initial reference visual, once the proof has been approved in accordance with §2.3.
The customer expressly waives any claim, cancellation request, remaking request or refund request based on a fidelity gap with a visual provided in a partial, ambiguous or technically insufficient manner. This waiver applies even in the event of a significant gap, once the proof has been sent and approved (expressly or tacitly — §2.3).
The choice of package determines the level of fidelity effort. Failing subscription to the maximum fidelity package, the customer cannot demand a rendering strictly identical to the reference visual and accepts an adaptation to the best of the constraints.
A customer who provides an AI visual:
AI artwork supplied by the customer — three AI Packages. Artwork generated by AI outside the Flare Custom configurator is a raster image: its resolution is insufficient at template size, its text is often distorted and it frequently contains inconsistencies (blurred elements, impossible details, asymmetries). It therefore cannot be printed as is. Three packages, each charged once per artwork whatever the quantity ordered, make it usable:
These packages are not cumulative: the customer selects one per artwork. The level chosen determines the extent of the rework and, with it, what the customer may expect from the final result. None of them applies to designs created in the Flare Custom 3D configurator, nor to vector files supplied by the customer that comply with the template.
Where the source artwork is too degraded for the chosen package to suffice, Flare Custom informs the customer before production and offers the next level up; the initial package is then not charged.
This absence of guarantee is due to technical constraints inherent to the sublimation and manufacturing process: the panels are cut individually from the printed fabric, the seam allowances are absorbed during assembly, the precision of seam alignment is limited, and technical fabrics show variable elasticity and shrinkage after passing through the calender press. An exact visual match between sewn panels is technically impossible to achieve in industrial production.
If the customer nevertheless wants a design with a continuous pattern intended to run across several panels (horizontal stripes continuing onto the back and sleeves, gradients linking the front and back, a centred illustration straddling two panels, a lateral seam match of an all-over print, etc.), Flare Custom:
A customer who approves a proof featuring a project for a continuous pattern between panels expressly waives any claim relating to the alignment or continuity of the finished rendering. This waiver is in addition to the manufacturing tolerances already provided for in articles 2.4 and 14.13.
Given the bespoke custom nature of Flare Custom products, once the proof has been approved by the customer and payment made: no modification or cancellation is possible, as manufacturing starts immediately. This includes in particular:
Special case — cancellation before proof approval: if the customer wishes to cancel their order because the proposed proofs do not suit them and they have not yet approved the proof, cancellation is possible under the following conditions.
Refund in the event of cancellation before proof approval:
Cancellation handling fees: in all cases, handling fees apply. Their amount varies according to the payment method used:
Exception after proof approval: a modification or cancellation may be accepted only with the express written agreement of Flare Custom and if manufacturing has not yet started. In this case, cancellation or modification fees may apply (minimum 30% of the total order amount).
Private (non-professional) consumers benefit from a 14-day right of withdrawal under the conditions set out in article 8 of these Terms, with the legal limitations for personalised products.
Product prices are shown in euros (€) excluding VAT. VAT is charged on top, according to the country of delivery and the regulations in force; the amount is shown on the quote and on the invoice.
The indicative prices shown on the flare-custom.com website are given for information purposes for standard configurations. The final, contractual price is the one appearing on the personalised quote sent to the customer and accepted by them.
Flare Custom reserves the right to change its prices at any time depending on fluctuations in raw material costs, exchange rates and market conditions. However, only the price appearing on the quote accepted by the customer will apply to the order concerned, subject to the revision provided for in article 2.2 bis in the event of a delay attributable to the customer.
Degressive pricing for group orders: quantity discounts are systematically applied to large orders. The higher the quantity ordered, the lower the unit price. The discount tiers are specified on each personalised quote.
Principle. Quantity tiers apply to an identical personalisation: same product, same design, same colourways, same options. The quantity that determines the tier is that of this personalisation, and of it alone.
Reset. Any change of design, colourway, pattern or artwork constitutes a separate personalisation: it is invoiced as its own line, whose tier is calculated on its own quantity. Quantities of different personalisations are never added together to reach a tier, including within a single order.
What does not break the identity. The following remain one and the same personalisation: the size breakdown, together with the names, numbers and labels specific to each player, provided the design and colourways are identical. These individual items are charged separately, per piece, at the applicable rate.
Large volumes. Beyond the last published tier, as well as for multi-year orders, kit supply contracts and brand projects, terms are set case by case in a dedicated quotation: price, lead times, payment terms, minimum per size and repeat-order terms. Those specific terms prevail over the prices displayed on the site.
Automatic application. The cart applies this rule by itself: each personalisation forms a separate line, with its own tier. No volume discount can be obtained by grouping different designs together.
For 1, 2 or 5 pieces of the same personalisation, the unit price is increased: 1 piece = “1 piece” tier price × 1.1815 (+18.15%); 2 pieces = “1 piece” tier price × 1.09 (+9%) per piece. From 3 to 4 pieces, the “1 piece” tier price applies. Exactly 5 pieces = “5 pieces” tier price × 1.065 (+6.5%) per piece, the total for 5 pieces always remaining higher than for 4 pieces and lower than for 6 pieces; from 6 to 9 pieces, the “5 pieces” tier price applies; from 10 pieces, the normal tiers. Per-piece options (names, numbers, finishes, large sizes) are added. This rule does not apply to reseller prices.
Express option available, from 72 hours to 2 weeks depending on the product and the quantity, on request; the surcharge is shown on the quote. Only the express option makes the delivery date contractual (article 4.4).
Delivery charges are payable and calculated according to several parameters:
The exact amount of the delivery charges is systematically indicated on the quote provided to the customer before any order confirmation. This amount is final and contractual.
Indicative range of delivery charges in Europe:
These rates are given purely as a guide. The exact amount will be specified on your personalised quote.
Payment for the order may be made by the following methods:
Full payment is required before production begins. No manufacturing will be launched without full receipt of payment.
General rule: full payment (100%) at order. The full amount of the order is payable at the time the quote is signed, before any production start, whatever the customer's profile (private or business) or the order amount. No instalment or payment term is granted as of right: a different payment schedule may only be granted at the customer's request, after review of the file and with Flare Custom's prior written agreement. Any payment facility that may be granted remains exceptional, one-off and revocable, without creating any acquired right for future orders.
The security and confidentiality of transactions are guaranteed by:
Flare Custom does not store any complete banking data. Only the PCI-DSS certified payment platforms process and store this information securely, in accordance with international payment security standards.
Products customised by sublimation require an indicative manufacturing time of 4 to 5 weeks from proof approval and receipt of payment.
This time may vary depending on:
Important: the times indicated are manufacturing times. The delivery time is added to the manufacturing time (see section 4.2).
Orders are shipped by express carrier with tracking. Delivery times vary according to the destination:
As soon as the order is shipped, the customer receives a tracking number by email allowing them to follow the progress of their parcel in real time.
Standard production: indicative date. For standard production, Flare Custom has no obligation of result as to a delivery date. Any date or lead time given (quote, proof, e-mail, phone, website) is an estimate, for information only and not contractually binding.
Events. The customer must state the date of their event (match, tournament, competition, ceremony…) before signing the quote; this information does not make the date binding without the paid express option. For standard production, Flare Custom is not liable for any delay and owes no compensation, penalty, refund or damages if the products arrive after an event, match, tournament or ceremony.
Paid express option: the only guaranteed date. Only the paid express option, when it appears on the signed quote, makes the guaranteed delivery date stated there contractual. If that date is missed through Flare Custom’s fault, its liability is limited to refunding the express surcharge, unless stated otherwise on the quote.
Remake or replacement. Where a remake or replacement is needed because of an error attributable to Flare Custom, the new delivery date is indicative only and no compensation is due for a missed event. However, if the customer has taken a paid express option, Flare Custom will do its best to meet the express timing for that remake or replacement; if that timing is exceeded, its liability remains limited to refunding the express surcharge.
Carrier delays. Once the parcel has been handed over to the carrier, Flare Custom is not responsible for the carrier’s delays (strikes, weather, customs, peak periods, wrong or incomplete address, recipient absent…). For business customers, risk passes to the customer on handover to the carrier (see 4.5).
Business customers: no maximum period; all lead times are purely indicative.
Consumers: maximum period. For standard production, delivery takes place no later than 8 weeks after approval of the proof and full payment, excluding carrier transit times. This maximum period is agreed between the parties in accordance with article 18 of Directive 2011/83/EU (delivery within 30 days unless the parties agree otherwise; the parties here agree on a maximum of 8 weeks). The consumer’s legal remedies (formal notice to deliver within a reasonable time, then termination of the contract and refund) apply only once this maximum period has been exceeded, subject to the rights the consumer holds under the applicable law, in particular termination of the contract in the event of non-delivery after formal notice.
Subject matter of the sale and limitation of liability.
Transfer of risk on handover to the carrier. Unless otherwise agreed in writing, the sale is concluded ex works / on handover to the carrier (INCOTERMS 2020: EXW for on-site collection or FCA — Free Carrier — for carrier shipments). The risks of loss, theft, breakage, damage, delay, misrouting or destruction of the products are expressly transferred to the customer from the handover of the goods to the first carrier, regardless of the transport payment method (carriage paid or carriage forward).
Flare Custom is bound only by an obligation of means in choosing the carrier, preparing the packaging and passing on the delivery details. Liability for transport rests exclusively with the carrier, within the conditions and limits of its own legal liability (CMR Convention for international road transport, the carrier's general terms in other cases).
No claim for loss, theft, breakage, delay or non-delivery may be raised against Flare Custom after handover to the carrier. The customer must pursue their remedies directly against the carrier, being responsible for issuing written reservations under the conditions of article 5.1.
Towards consumers: by exception, where the customer is a consumer (a natural person acting outside any professional activity), the transfer of risk takes place upon actual taking of possession of the goods, in accordance with article 20 of Directive 2011/83/EU and the applicable mandatory Bulgarian legislation.
Additional insurance — on quote. In addition to the carrier's legal liability (generally capped and insufficient to cover the market value of personalised products), the customer may take out, on quote, all-risk transport insurance covering loss, theft, breakage and damage up to the declared value of the products.
In the absence of subscription to this insurance, the customer acknowledges and accepts that their cover is strictly limited to the carrier's legal liability (capped by the latter's general terms or by the CMR Convention) and bears in full any loss exceeding this cap: loss of earnings, express remaking costs, sporting penalties, substitute equipment rental costs, sponsorship penalties. Flare Custom may in no case be required to compensate for these losses.
Fabrics and supplies are sourced when the order goes into production. A fabric may no longer be available, in particular where production starts more than 60 days after the signature of the quote because of the customer, or in the event of a shortage at the fabric manufacturer. Flare Custom then replaces it with a fabric of equivalent or higher quality (composition, weight, intended use), at no extra charge, unless the customer chooses a more expensive fabric. The customer is informed before production and the replacement fabric is shown on the proof. If the customer refuses the proposed fabric, they may choose another available fabric. A slight difference in feel or shade between two fabrics does not constitute a lack of conformity.
The customer (or their representative) checks the parcel on delivery, in the presence of the driver if possible: external condition (box, seal, impacts, tears), number of parcels stated on the slip, condition of the products. In the event of an anomaly (damaged, opened, wet, crushed parcel, missing contents), they refuse the parcel or accept it while writing precise, dated and signed reservations on the delivery note or the driver’s terminal (“subject to unpacking” is not sufficient), and take photos of the parcel and the products.
Business customers (clubs, companies, associations with a SIRET or VAT number, resellers, professional accounts):
Consumers (individuals acting outside their professional activity): the legal guarantee of conformity (2 years from delivery, Directive (EU) 2019/771) and the other mandatory rights granted to them by the applicable law apply in full. The customer is asked to report any problem as early as possible via the “Report a problem” module, and a damaged parcel within 3 days if possible, with reservations on the carrier’s slip. Nothing in these T&Cs limits these legal rights.
On receipt, the customer checks:
Any problem is reported within the deadlines set out in article 5.1, with photos, as described in article 5.3.
Any claim (non-conformity, defect, missing item, damaged parcel) must be made through the “Report a problem” module of the customer account, available from the order concerned: this is the channel for all customers, within the deadline set out in these Terms and with the required photos. Otherwise, only e-mails sent to support@flare-custom.com, with the order number and the required photos, are considered. This rule prevails over any other mention of sending by e-mail in these Terms. Claims sent to contact@, devis@ or any other address, by phone, messaging apps or social networks are not processed.
Form of claims. Claims must be short, factual and courteous, limited to the defect observed and supported by the requested photos. Only factual elements (ticked boxes, photos, comments) are examined; narratives, personal considerations or repeated messages are not taken into account. Any insulting or threatening language leads to the claim being closed and falls under article 14.8 (abusive behaviour by the customer).
In accordance with Directive (EU) 2019/771 on contracts for the sale of goods and with Bulgarian consumer protection legislation (Закон за защита на потребителите), Flare Custom guarantees the conformity of the delivered products with the proof approved by the customer.
European Union consumers benefit from a 2-year legal warranty of conformity from the delivery of the goods. The seller is liable for any lack of conformity existing at the time of delivery which appears within a period of 2 years.
In the event of proven non-conformity (manufacturing error, incorrect customisation, quality defect) attributable to Flare Custom, Flare Custom undertakes to:
Scope of remaking. Corrective remaking is strictly limited to the pieces actually defective, excluding the rest of the compliant batch. It is carried out as far as possible and reasonable, depending on Flare Custom's production capacity, the availability of materials and the technical possibility of reproducing identically (an identical fabric and ink batch is not guaranteed — see §14.13).
The time needed for remaking in no way constitutes a delivery delay giving rise to a penalty, compensation or termination. No late-delivery penalty, loss-of-use compensation or additional damages (loss of earnings, loss of image, substitute equipment rental costs) may be claimed on this basis.
Satisfaction guarantee: if the error comes from Flare Custom, we cover all the costs of remaking and reshipping the affected pieces only. This commercial guarantee is in addition to the European legal warranties you benefit from and cannot give rise to remaking of the entire batch in the absence of a defect on the other pieces.
The warranty does not apply in the following cases:
In accordance with European law, the products sold must have the quality and performance expected for this type of goods. Flare Custom sports textiles are designed for intensive use in sporting conditions and are guaranteed against manufacturing defects.
In the event of a lack of conformity, the consumer may choose between repair or replacement of the goods, unless the chosen remedy is impossible or entails disproportionate costs. If repair and replacement are impossible, the consumer may obtain a price reduction or termination of the contract with a refund.
The customer is fully responsible for approving the proof (BAT). Once the proof is approved, no claim regarding the visual elements, text, colours or dimensions shown on the proof will be accepted.
Full customer responsibility for the data provided. Flare Custom prints strictly and exclusively the data provided and approved by the customer. Any error, inaccuracy or approximation in the data entered or transmitted by the customer engages their sole and entire responsibility, in particular and without limitation:
No free remaking, retouching or refund will be granted by Flare Custom where the alleged defect originates in data provided or approved by the customer. Any corrective remaking will be charged at the standard rate plus accelerated production costs.
Default typographic rules on jerseys: unless the customer makes an express written request before proof approval, the surnames and first names placed on the back of the jerseys are printed in capital letters without accents or diacritics, in the standard font, size and position adopted by Flare Custom. Any specific request (lower case, mixed case, accents, particular fonts, non-standard positioning) must be expressly made in writing before proof approval and checked by the customer on the proof. The absence of such a request constitutes unreserved acceptance of the standard rules.
The customer warrants that they hold the rights to use all the visuals, logos, images, fonts and text provided for the customisation. The customer undertakes to:
Obligation of full indemnification and warranty. The customer expressly indemnifies Flare Custom / OLB Sports OOD against any action, claim, formal notice, summons or conviction relating to intellectual property, related rights, trademark law or image rights, coming from a third party and resulting from the elements provided by the customer (logos, visuals, names, numbers, photographs, fonts, slogans, etc.).
The customer undertakes to indemnify Flare Custom / OLB Sports OOD on first demand for the full amount of any sums it may be required to pay in respect of such an action (damages, lawyers' fees, procedural costs, costs of withdrawing the products from the market, notification costs, administrative fines, loss of earnings). This indemnification obligation is without cap and without deductible, unless a mandatory provision of public policy provides otherwise.
Flare Custom reserves the right to immediately suspend production, refuse delivery or recall products already delivered in the event of serious doubt over the ownership of the rights, without the customer being able to claim any refund or compensation.
In accordance with Directive 2011/83/EU on consumer rights and Bulgarian law (Закон за защита на потребителите, art. 50-55), consumers (natural persons purchasing for non-professional use) have a withdrawal period of 14 days from receipt of their order.
This right allows the consumer to return the products without having to give reasons and without penalty, with the exception of the return costs, which remain payable by them.
Important: this right of withdrawal does not apply:
In accordance with article 16, point (c) of Directive 2011/83/EU and the corresponding article of Bulgarian law, the right of withdrawal cannot be exercised for goods made to the consumer's specifications or clearly personalised.
Consequently, products customised by sublimation (with specific logos, names, numbers) conforming to the proof approved by the customer cannot be subject to a right of withdrawal, as they are made to measure according to the customer's exact specifications.
Not to be confused with the legal warranty: the exclusion of the right of withdrawal in no way deprives the customer of the 2-year legal warranty of conformity (EU Directive 2019/771) or of the other rights granted to the consumer by the applicable law. In the event of non-conformity of the delivered product with the approved proof, a proven manufacturing defect (not attributable to use) or a hidden defect (a defect not apparent at delivery), the customer has the remedies provided for in article 6 of these Terms (repair, replacement, price reduction or termination of the contract) — independently and without the 14-day period.
To exercise their right of withdrawal (if applicable under article 8.2), the consumer must notify their decision clearly and unequivocally before the 14-day period expires. This notification may be made:
The products must be returned:
In accordance with Directive 2011/83/EU, Flare Custom will refund all payments received (product price + initial delivery charges) within 14 days of receipt of the returned products or proof of shipment. The refund will be made using the same payment method as that used for the initial transaction, unless otherwise agreed.
The personal data collected when placing an order (surname, first name, address, email, phone) is processed by OLB Sports OOD in accordance with the General Data Protection Regulation (GDPR).
This data is used exclusively to:
In accordance with the GDPR, you have a right of access, rectification, erasure, portability and objection concerning your personal data. To exercise these rights, contact us at: devis@flare-custom.com.

All the elements present on the flare-custom.com website (text, images, logos, graphics, databases) are the exclusive property of OLB Sports OOD or are subject to a licence of use.
The Flare Custom brand, its logos and its graphic elements are protected by trademark law. Any unauthorised use is prohibited and constitutes an infringement within the meaning of the Bulgarian Law on Trademarks and Geographical Indications (Закон за марките и географските означения) and applicable European law.
Exclusive ownership of Flare Custom's creations. All the graphic creations produced by Flare Custom — mock-ups, proofs, graphic adaptations, designs, source files — remain the exclusive intellectual property of OLB Sports OOD / Flare Custom. The customer acquires no intellectual property right over the creations themselves by the mere fact of paying for the design package or the order.
The customer acquires only a personal and limited right of use over the physical products delivered, for their own sporting, associative or internal promotional use. Any reproduction, commercial exploitation, resale or reuse of the designs outside the delivered products is strictly prohibited without prior written agreement.
Acquisition of full rights over the designs (IP assignment): to acquire full rights (reproduction, exploitation, source files, full or partial assignment), the customer must conclude with Flare Custom a specific rights assignment contract charged as an extra, the amount of which is determined according to the complexity of the design, the scope of the rights assigned and the duration of exploitation. This assignment is subject to full payment of the corresponding supplement.
Scope. This article covers all visuals, patterns, colourways, compositions and files produced using Flare Custom's 3D configurator, whether they result from the customer's own manual composition (choice of colours, patterns, placements) or from an AI-assisted generation offered by the tool.
Ownership. These creations are produced using Flare Custom's proprietary models, cutting templates, pattern libraries, rendering engines and tools. From the moment they are generated they remain the exclusive intellectual property of OLB Sports OOD / Flare Custom, whether or not the session results in an order. By ordering, the customer acquires only a right of use over the physical products delivered, within the limits set out in article 10.2.
Reuse by Flare Custom. Flare Custom may freely keep, modify, adapt, publish, add to its catalogue, templates or inspiration libraries, and offer to other customers all or part of these creations, without limitation of time or territory and without financial consideration.
Items belonging to the customer. Expressly excluded from the above are pre-existing items supplied by or belonging to the customer — in particular their name, logo, crest, trademarks and those of their partners or sponsors. These remain the property of their owner; the customer merely grants Flare Custom the right to reproduce them in order to fulfil the order and for the promotional use set out in article 10.3. Flare Custom does not reuse such items for the benefit of a third party.
Exclusivity on request. A customer who wishes a design not to be reused or offered to a third party may request exclusivity from Flare Custom. It is granted against an exclusivity fee, the amount of which depends on the design concerned and on the scope and duration of the exclusivity, and is set out in a written agreement. Exclusivity takes effect upon full payment of that fee and does not apply retroactively to earlier uses. Without such an agreement, no exclusivity is acquired, whatever the quantity ordered.
Extended promotional use right for Flare Custom. The customer expressly authorises Flare Custom to capture, edit and freely use, with no limitation of duration, territory or medium and without financial consideration, all the content related to their order — in particular:
This content may be used for promotion, marketing, advertising, portfolio, social media (Instagram, Facebook, TikTok, LinkedIn, YouTube and equivalent platforms present and future), website, blog, newsletter, trade shows, brochures, sales leaflets, press kits, case studies and use sheets of Flare Custom or its commercial partners.
Objection: the customer may object to this promotional use only by a written request made before production begins, to devis@flare-custom.com, specifying whether the objection covers all content, the naming of the customer or only certain media. Once production has begun, the authorisation is deemed definitively acquired by Flare Custom, with no possibility of withdrawing content already published.
Flare Custom undertakes not to disclose to third parties the logos, confidential designs, sponsors and commercially sensitive elements provided by the customer outside the performance of the order, subject to the promotional right defined in article 10.3.
Reciprocally, the customer undertakes not to distribute, publish, share or transmit to a third party (in particular a competitor or another supplier) the proofs and pre-production mock-ups produced by Flare Custom, without prior written agreement. Any unauthorised distribution engages the customer's liability and may give rise to damages.
Retention period limited to 12 months. Flare Custom keeps the proofs, mock-ups, editable source files (PSD, AI, high-definition PDF, sublimation templates) and production files linked to an order for a period of twelve (12) calendar months from the delivery of the order or the last reorder on the same design.
After this 12-month period without a new order or a written request for extension, Flare Custom reserves the right to destroy or archive these files offline without notice or notification. The customer may then not claim the supply, the return or the reconstruction of the deleted or archived source files, nor claim any compensation.
Any resumption of production after this period may require a new graphic creation service charged according to the applicable price list (design package, vectorisation, template re-registration), without this being regarded as double billing. The customer may request, in writing before the period expires, an extension of retention for an archiving fee of €25 excl. VAT per year and per order.
OLB Sports OOD cannot be held liable for any delay or non-performance of its obligations resulting from an event of force majeure within the meaning of article 306 of the Bulgarian Commercial Act (Търговски закон) and the case law of the European courts and tribunals.
The following are considered in particular as events of force majeure, without this list being exhaustive:
In the event of force majeure, Flare Custom will inform the customer as soon as possible and will propose either a postponement of delivery or cancellation of the order with a refund of the sums paid (after deduction of the costs actually incurred and non-recoverable).
Prolonged force majeure (exceeding 60 days): if the force majeure situation continues beyond sixty (60) calendar days, each party may request the amicable termination of the order without penalty or damages for either party. The sums paid will be refunded to the customer after deduction of the costs actually incurred by Flare Custom before the occurrence of the force majeure (design package, reserved materials, graphic studies carried out).
These Terms are governed by Bulgarian law and by European Union law applicable to cross-border electronic commerce, in particular:
In accordance with Regulation (EU) No 524/2013 and Bulgarian consumer protection legislation, any European consumer has the right to use a consumer mediator free of charge in order to reach an amicable resolution of a dispute with OLB Sports OOD.
In the event of a dispute, you may submit your complaint on the European Commission's Online Dispute Resolution (ODR) platform, available in all European Union languages: https://ec.europa.eu/consumers/odr. This platform is free and available in 24 languages.
In the event of a dispute with a Bulgarian consumer, the competent mediator is the Bulgarian Commission for Consumer Protection (Комисия за защита на потребителите / KZP):
For consumers from other EU Member States, you may contact the mediation body in your country via the ECC-Net (European Consumer Centres Network) or use the European ODR platform.
Before any legal or mediation action, we invite you to contact us directly at devis@flare-custom.com in order to seek an amicable solution to any dispute.
Flare Custom undertakes to handle any complaint within 7 working days and to propose a satisfactory solution as soon as possible. We always favour dialogue and the amicable resolution of disputes.
In the absence of an amicable settlement or successful mediation, any dispute relating to the interpretation, validity, performance or termination of these Terms will be submitted to the competent Bulgarian courts in accordance with Bulgarian law.
Exclusive territorial jurisdiction — business customers. In accordance with Regulation (EU) No 1215/2012 (Brussels I bis) and Bulgarian legislation, business customers (B2B) expressly acknowledge and accept that any dispute with Flare Custom / OLB Sports OOD falls within the exclusive and mandatory jurisdiction of the Sofia City Court (Софийски градски съд — Sofia City Court) at first instance, and of the Sofia Court of Appeal on appeal. This attribution of jurisdiction applies even in the event of multiple defendants, a warranty claim, related proceedings or interim proceedings.
Shortened contractual time limit for action (B2B): any legal action brought by a business customer against Flare Custom must be filed, on pain of contractual forfeiture, within one (1) year of the triggering event, without prejudice to the 3-year legal limitation period provided for in article 12.6. After this contractual period, the business customer is deemed to have definitively waived any action.
Towards consumers: in accordance with articles 17 to 19 of the Brussels I bis Regulation, consumers (natural persons acting outside any professional activity) retain the right to bring an action before the courts of their place of domicile and benefit from the mandatory limitation periods of their country of residence. The jurisdiction and forfeiture clauses above are not enforceable against them.
Limitation period of three (3) years. In accordance with article 110 of the Bulgarian Law on Obligations and Contracts (Закон за задълженията и договорите — ZZD), all claims arising from this contract are time-barred after three (3) years from the day the right to act arose.
This includes in particular, without limitation: actions for a refund, a price reduction, termination, damages, non-conformity or a hidden defect, as well as Flare Custom's reciprocal actions for payment or compensation.
After this period, any action will be considered time-barred and inadmissible. The special shorter limitation provisions laid down by Bulgarian legislation (art. 111 ZZD for rents, penalties and interest: also 3 years) or by European law remain applicable.
This clause does not affect the mandatory time limits granted to consumers by the public policy provisions of their country of residence (in particular the 2-year legal warranty of conformity — EU Directive 2019/771).
Confidential exchanges and documents. Written exchanges between Flare Custom and the customer are private and confidential. This includes in particular emails, customer-area messages, quotes, proofs, mock-ups, design files and amicable settlement proposals. The customer undertakes not to reproduce or publish them, in whole or in part, on the Internet, social networks, forums or review platforms, without Flare Custom’s prior written consent. Proofs, mock-ups and design files are also protected as intellectual property (articles 10.2 and 10.4).
Customer’s freedom to review. This obligation only covers the reproduction of exchanges and documents. It does not limit the customer’s freedom to publicly express, in their own words, a sincere opinion about Flare Custom’s products and services, including about an order or a dispute.
Exceptions. The customer may always share these exchanges and documents with their bank or payment provider, a mediator, a legal adviser, an administrative authority or a court.
Prior complaint. Before any publication relating to a dispute, the customer is invited to send a complaint to Flare Custom, in accordance with articles 5.3 and 14.10, to allow an amicable resolution.
Business customers. For business customers, the confidentiality obligation also extends to the existence and content of the dispute. It applies for its entire duration and for the twelve (12) months following its resolution. Any breach engages the business customer’s liability and may give rise to damages.
Defamatory statements. In all cases, false, defamatory or disparaging publications remain punishable under ordinary law, independently of this article.
These provisions apply, in addition to the other articles, to customers acting in the course of their professional activity (sports clubs and associations registered with BULSTAT/SIRET, companies, traders, professional structures).
Exclusion of the right of withdrawal for professionals. In accordance with article 50 of the Bulgarian Consumer Protection Act (Закон за защита на потребителите) and Directive 2011/83/EU, the 14-day right of withdrawal is reserved for consumers (natural persons acting outside any commercial, industrial, craft or professional activity).
Business customers expressly and irrevocably waive the right of withdrawal. The electronic signature of the quote by a business customer constitutes a firm and definitive commitment to purchase.
In accordance with article 309a of the Bulgarian Commercial Act (Търговски закон) and Directive 2011/7/EU on combating late payment in commercial transactions, any late payment between professionals automatically gives rise, without any prior formal notice being necessary, to:
In accordance with articles 205 et seq. of the Bulgarian Law on Obligations and Contracts (Закон за задълженията и договорите / ZZD), Flare Custom retains ownership of the delivered products until full payment of the price, in principal, interest, ancillary charges and any recovery costs. The transfer of ownership only takes place upon receipt of all sums due.
Until full payment, the customer may not resell, give, pledge or otherwise dispose of the delivered products. In the event of non-payment, Flare Custom reserves the right to reclaim the products in whosever hands they may be, without prejudice to any damages that may be claimed.
In the event of non-payment of any sum due by the customer on its due date, persisting for more than thirty (30) days after an unsuccessful formal notice, the order will be automatically terminated in favour of Flare Custom, without any judicial formality or additional notice being required.
In this case, Flare Custom retains all sums already paid by the customer as compensation for the costs incurred (graphic costs, reserved materials, work carried out) and may also demand payment of additional damages corresponding to the loss suffered (loss of earnings, restocking costs, procedural costs).
Personal joint and several undertaking of the representative — dual signature required. Where the order is placed in the name and on behalf of a non-profit association, a registered association, a sports club, a works council, a social and economic committee (CSE), a co-ownership, a union, a foundation, a non-commercial structure or any legal entity without proven financial and patrimonial liability, the natural person who places and signs the order undertakes jointly, severally and personally with the represented structure towards Flare Custom, for all the net financial obligations of the order (price, penalties, recovery costs, damages).
Practical consequence: in the event of non-payment or insolvency of the represented structure, Flare Custom is entitled to pursue directly, against their personal assets and income, the signatory natural person(s) (president, treasurer, secretary, agent), without first having to seek payment from the structure or to prove a prior default by it (express waiver of the benefit of discussion and division).
Dual signature required for the validity of the joint liability: to make this joint undertaking fully enforceable in accordance with Bulgarian law (art. 121-127 ZZD) and European case law on guarantees and personal undertakings, the natural person who signs the quote on behalf of such a structure must do so in a dual capacity, evidenced by two distinct electronic signatures at the time the quote is approved:
At the time of electronic signature of the quote, Flare Custom provides a specific user journey to collect these two distinct signatures when the customer has declared they are acting on behalf of an association, a club, a committee or a similar structure. Without the collection of the second personal signature, the joint liability clause cannot be invoked against the natural person; the order nevertheless remains perfectly valid with respect to the represented structure.
Exclusions: this personal joint liability clause does not apply where the customer is a commercial company registered in the trade register of its country (SARL, SAS, SA, GmbH, OOD, EOOD, Ltd, etc.) with its own financial and patrimonial liability. In this case, the signatory director binds only the legal entity, unless a voluntary personal undertaking is expressly collected.
In accordance with article 3.4 of these Terms, the electronic signature of the quote constitutes a firm and definitive commitment. Full payment (100%) of the order amount is due at order, unless there is a prior express written agreement providing for a different payment schedule, granted at the customer's request after review of the file.
Subject to the provisions on the consumer's right of withdrawal (article 8) and the cancellation terms (article 2.7), the sums paid are definitively acquired by Flare Custom once performance has begun (sending of the proof, reservation of materials, workshop scheduling or launch of production), as a fixed and non-reducible indemnity for the costs incurred. The precise refund scale (before proof / after proof / after production) is detailed in article 2.7.
In all cases and to the extent permitted by applicable law, the total cumulative liability of OLB Sports OOD / Flare Custom in respect of an order, on whatever basis (contractual, tortious or otherwise) and whatever the alleged loss, is expressly limited to the amount incl. VAT actually paid by the customer for the order concerned.
Flare Custom may in no case be held liable for indirect, immaterial or consequential damages suffered by the customer, in particular:
This limitation does not apply in the event of gross negligence or proven wilful misconduct by Flare Custom, nor in cases where mandatory law provides otherwise (in particular for the benefit of consumers).
Given the industrial constraints inherent to textile sublimation (occasional manufacturing losses, pieces rejected at quality control), an industrial tolerance of plus or minus five percent (± 5%) on the delivered quantities relative to the quantities ordered is expressly agreed, in accordance with the practices of the international textile trade.
This tolerance applies both up and down:
No claim will be accepted for quantity discrepancies within this tolerance margin. This tolerance complies with textile industry practices and internationally recognised commercial practices.
Refusal of delivery — costs payable by the customer. The customer must make themselves available on the announced delivery dates and provide a correct and complete address. In the event of refusal of delivery without a legitimate reason (unreported absence, refusal to collect from a pick-up point, refusal to sign, incomplete or incorrect address), non-attendance at appointments set with the carrier or failure to collect from a pick-up point within the allotted time, the following costs are entirely payable by the customer:
After 30 calendar days without collection of the products by the customer despite reminders: the sums already paid remain entirely acquired by Flare Custom as a fixed and non-reducible indemnity, and the products may be destroyed, recycled or reused for promotional purposes by Flare Custom (if the customisation allows), with no recourse or compensation possible for the customer.
The actual transport costs (reshipment, return, storage at the carrier) are passed on to the customer on the carrier's supporting documents, without cap, in addition to the administrative flat fees above. In the event of an address error attributable to the customer, all these costs are payable by them, with no recourse possible against Flare Custom or the carrier, and without being able to invoke the commercial guarantee.
In addition to the 2-year legal warranty of conformity provided for by Directive (EU) 2019/771 and Bulgarian consumer protection law (which remains fully applicable to consumers), Flare Custom grants all its customers (consumers and professionals) a commercial guarantee of thirty (30) days from delivery, covering exclusively hidden manufacturing defects that could not be detected on receipt and that appear under normal conditions of use and care.
The following are covered in particular under this commercial guarantee:
Excluded from this commercial guarantee, however, without prejudice to the legal warranty owed to consumers, are: normal wear, damage resulting from abnormal or abusive use, failure to comply with the washing and care instructions provided, and defects already covered by the legal warranty of conformity.
Flare Custom products are designed for normal sporting or promotional use under the conditions of use for which they are expressly intended (training, competitions, promotional events). Damage resulting from the following is expressly excluded from the warranty:
The customer undertakes to comply with the washing and care instructions provided with the products.
The customer is solely responsible for the accuracy, completeness and currency of the information they provide to Flare Custom when ordering, in particular: name, company name, delivery address, billing address, professional identification numbers (BULSTAT, SIRET, intra-EU VAT), email address, phone number, payment method.
Flare Custom cannot be held liable for the consequences resulting from erroneous, incomplete or out-of-date information provided by the customer, in particular regarding: delivery errors, the inability to reach the customer, processing delays, invoicing errors, payment rejections.
In the event of an address error attributable to the customer requiring redelivery, the corresponding costs are entirely payable by the customer (see article 14.4).
Unilateral termination for abusive, insulting, threatening or dishonest behaviour. In accordance with the principle of contractual good faith set out in article 63 of the Bulgarian Law on Obligations and Contracts (ZZD), the customer undertakes to maintain respectful, courteous and good-faith relations with the Flare Custom teams, both in written exchanges (email, contact form, messaging, customer area, social media, SMS) and in oral exchanges (telephone, video call, in-person meeting).
Flare Custom reserves the right to unilaterally terminate the order, without notice, without judicial formality and without compensation due to the customer, in the event of behaviour characterised as abusive, disrespectful, threatening or dishonest on the part of the customer, their representatives, employees, agents or any person acting on their behalf. This targets in particular:
Graduated procedure according to severity:
Termination procedure: termination is notified to the customer by simple email to the address provided when ordering, which constitutes valid service (§14.9). It takes effect immediately and automatically. The written exchanges constituting the abusive behaviour (and, where applicable, the prior warning) are archived as evidence by Flare Custom.
Financial consequences:
Blacklisting: Flare Custom reserves the right to refuse any future order from the customer concerned and the entities linked to them, without having to give reasons for its refusal.
Criminal actions: behaviour constituting criminal offences (public abuse, threats, harassment, defamation, extortion) may give rise to a complaint by Flare Custom to the competent authorities (Bulgarian authorities in the first instance, the authorities of the customer's country of residence in addition), with a civil-party claim.
In accordance with Regulation (EU) No 910/2014 (eIDAS) applicable in Bulgaria and Bulgarian legislation on electronic communications, the parties expressly acknowledge:
The customer is responsible for the proper functioning and regular checking of their email address and undertakes to inform Flare Custom without delay of any change of address. Otherwise, emails sent to the previously communicated address remain deemed received.
Flare Custom undertakes to handle any complaint in good faith and to seek an amicable solution. In return, the customer undertakes, in accordance with the principle of good faith provided for in article 63 of the Bulgarian Law on Obligations and Contracts (ZZD), to first contact Flare Custom's customer service (devis@flare-custom.com) before any negative publication or public dissemination relating to a dispute (online reviews, social media, professional publications), in order to allow an amicable resolution of the dispute.
This prior duty of loyalty in no way affects the customer's freedom of expression or their legitimate right to publicly express a sincere and proportionate opinion on the products and services. However, in the event of manifestly false, misleading, defamatory or bad-faith publications causing proven harm to the image and reputation of Flare Custom, the customer's liability may be engaged under Bulgarian and European common law, and give rise to a request for the removal of the disputed content and to compensation for the loss suffered.
Optional physical sample — express waiver of screen/rendering claims. Before the launch of series production, the customer may request the production of a physical validation sample — a single piece printed according to the specifications of the approved proof, allowing the real result to be assessed (colours, fabric, sublimation, placement, size) before manufacturing the whole order. This service is optional, charged on quote depending on the product, the fabric, the dimensions and the desired lead time, and entails an additional production time (typically 5 to 10 working days, indicative).
Express waiver in the absence of subscription: by not subscribing to the test sample, the customer acknowledges and accepts that the digital proof is their only visual validation reference and expressly waives any claim, remaking or refund request based on a discrepancy between the final physical result and the on-screen perception of the proof (on-screen colour rendering, calibration of their monitor, colour profile, brightness, perception of the fabric, weight, drape or feel of the textile, depth of the sublimation), subject to the tolerances already provided for in article 2.4.
Pre-shipment production photos and videos — paid package.
Discretionary right of refusal. Flare Custom reserves the right to unilaterally refuse, at any stage preceding the launch of production, to carry out a brief, a customisation request or an order whose execution would prove, at Flare Custom's sole reasonable assessment:
Financial consequences: in the event of a refusal at Flare Custom's initiative for one of the reasons above, the sums already committed for the analysis work, graphic research, pre-creation, rights verification or prototyping remain acquired by Flare Custom as compensation for the costs actually incurred. Any balance of the sums paid by the customer is refunded within 30 days. The customer may not claim any compensation or damages for the refusal.
Notification: the refusal is notified to the customer by email with a brief indication of the reason. Flare Custom is not required to give detailed reasons for its refusal or to disclose the internal analysis elements that led to it.
Additional tolerances — natural variations inherent to the process. Given the artisanal nature and textile sublimation, the customer expressly accepts the following variations, which may in no case give rise to a claim, remaking or refund:
These tolerances are in addition to and combine with those of article 2.4. To guarantee a strict visual identity between successive orders, the customer must anticipate and group their orders into a single production batch or subscribe to the maximum fidelity package (§2.6 bis) with an express request for colour re-registration, subject to technical feasibility.
Fraudulent or unjustified payment dispute (chargeback). A fraudulent or unjustified dispute is any chargeback (payment dispute with the bank that issued the card) initiated by the customer after compliant performance of the order or after proof approval, in particular where the reason invoked with the bank (unrecognised transaction, goods not received, non-conforming goods) is contrary to reality or not preceded by an amicable complaint to Flare Custom under the conditions of §14.10.
In the event of a proven fraudulent or unjustified chargeback, Flare Custom reserves the right to:
The customer acknowledges that any bank dispute must imperatively be preceded by a written complaint to Flare Custom and a reasonable response time (7 working days), failing which it will be presumed abusive.
Right of assignment and factoring. Flare Custom reserves the right, in accordance with articles 99 et seq. of the Bulgarian Law on Obligations and Contracts (ZZD), to assign, transfer, pledge or mobilise, in whole or in part, its receivables arising from the order (unpaid amounts, overdue invoices, penalties, indemnities) to any third party of its choice, in particular:
The customer expressly authorises this assignment and accepts that notice of it be given by simple email to the address provided when ordering (§14.9), without any additional formality or collection of their prior consent. From the notification, the customer must pay the assignee all sums due, the assignee automatically benefiting from all the rights, guarantees and ancillary rights attached to the receivable (§13.2, §13.3, §13.4).
The assignment and recovery costs borne by Flare Custom or its assignee (factoring commissions, bailiff's fees, lawyer's fees, procedural costs) are entirely payable by the defaulting debtor customer.
Simply placing an order on the flare-custom.com website implies the customer's full and complete acceptance of these General Terms and Conditions of Sale.
OLB Sports OOD reserves the right to amend these Terms at any time, in particular for reasons of legislative, regulatory or commercial change.
The applicable Terms are those in force on the date of the order. Any amendment will not affect orders already placed.
If one or more provisions of these Terms are considered invalid or declared as such pursuant to a law, a regulation or following a final decision of a competent court, the other provisions will retain their full force and scope.
